A California Statement of Information keeps specified business details on the Secretary of State’s record current. It is not a tax return, and it is not always annual. The right schedule depends on the entity classification and its registration date.
First, the initial statement
California corporations and California or registered foreign LLCs generally must file an initial statement within 90 days of formation or registration with the California Secretary of State. The initial filing is separate from the recurring cycle. Do not wait for the next annual or biennial window to submit it.
Check the applicable form for your classification. Specialized entities, including common interest developments, can have additional requirements.
Then, the recurring schedule
- California stock corporations and qualified out-of-state corporations: generally every year, based on the California registration month. Do not assume that an out-of-state nonprofit follows the California domestic nonprofit schedule.
- California nonprofit corporations: generally every two years, based on the registration month and whether the registration year was odd or even.
- California and registered foreign LLCs: every two years, also based on the registration month and the odd or even registration year.
The recurring filing period includes the registration month and the five immediately preceding calendar months. That is a six-month window, not six extra months after the anniversary.
For example, an LLC registered in California in October 2025 has an initial 90-day obligation. Its next regular biennial filing period is May through October 2027, then May through October in subsequent odd-numbered years. This example illustrates the schedule; always verify the actual entity record and applicable instructions.
When information changes
Do not treat the recurring deadline as permission to leave an inaccurate record untouched. Review the need for an updated statement when addresses, management or agent information changes. A new statement is required when the agent for service of process resigns or is no longer valid.
An update outside the regular window and the next required periodic filing are distinct obligations. Check the applicable instructions rather than assuming an update resets the biennial year.
If nothing changed, or a deadline was missed
No changes does not mean no filing. An eligible no-change statement may be available when the previously filed complete information is still correct. Confirm eligibility and file when required.
If the statement is late, inspect the business record and any agency notice promptly. Filing may address the missing statement, but it does not automatically eliminate penalties, cure tax delinquencies or restore a suspended entity. Those issues can require separate agency action.
Gather the information before filing
Have the exact entity name and number, registration date, current addresses, management information and accepted agent designation ready. The applicable form can also require disclosures such as specified outstanding labor judgments; the authorized signer must review the actual questions carefully.
Statement of Information assistance covers an agreed filing scope. California Registered Agent service is a separate engagement—not a promise to monitor every filing, tax or licensing deadline.
