The overview

Know what you’re filing.

A Statement of Information updates specified details on the Secretary of State’s record. It is separate from a tax return, business license and the documents that originally formed or registered the entity.

An initial statement is generally due within 90 days of formation or registration for corporations and LLCs. Recurring schedules differ: California stock and qualified out-of-state corporations generally file annually; California nonprofit corporations and domestic or registered foreign LLCs generally file every two years.

Confirm addresses, management, agent details and any disclosures required by the applicable form.

  3. Authorize the statement

Approve the filing information, complete the agreed submission and retain the filed record.

Good questions

A little clarity
before you file.

A practical guide to Statement of Information schedules.
Is every Statement of Information annual?

No. California stock and qualified out-of-state corporations generally file annually. California nonprofit corporations and all California-registered LLCs generally file biennially. Other classifications and additional statements require separate review.

Do I still file if nothing has changed?

A recurring filing is still required when due. An eligible no-change filing may be available if the prior complete statement remains accurate. Confirm eligibility rather than skipping the filing.

Will filing remove a suspension or penalty?

Not necessarily. A late statement may address one missing requirement, but penalties, tax issues or other causes of suspension can require separate action with the appropriate agency.
