Eligible interstate conversions
Discuss this service View the full fee scheduleIncluded in the reference scope
- Filing assistance defined in a written quote
- Coordination of the agreed conversion documents
Separate or not included
- Government fees as specified in the quote
- Legal and tax advice
- Other state registrations unless expressly included
Both jurisdictions, entity type, filing sequence and government fees must be reviewed. Conversion is not the same service as registering an out-of-state entity in California.
Service availability and scope are confirmed before engagement. An inquiry does not appoint a registered agent or authorize a filing.
The overview
Know what you’re filing.
An interstate conversion can change an entity’s jurisdiction of formation where the applicable laws allow it. It is not simply an address update, and it is not available for every combination of states and entity types.
The departure and destination requirements must be considered together. Your attorney and tax professional should review the plan, ownership approvals, continuity and tax consequences before any filing is authorized.
A clear scope
What to expect.
What to confirm.
Your quote defines the included assistance. Legal advice, tax advice and unrelated filings are not included.
Filing assistance
- Review of the requested states, entity types and filing requirements.
- Coordination of the agreed conversion filing information and signatures.
- Submission assistance and retention of the resulting filing records.
Matters to confirm
- Availability of the conversion path under both jurisdictions’ laws.
- An approved conversion plan and required ownership or governing-body consent.
- Effective dates, existing registrations and legal or tax consequences.
The process
A clear next step.
Map the proposed move
Identify the current formation state, destination state, entity type and intended business activity.
Confirm the permitted path
Review jurisdiction requirements and adviser-approved decisions before agreeing to a filing scope.
Coordinate the filings
Complete the authorized documents in the required sequence and retain the accepted records.
Can every business convert to every state?
No. The entity type and laws of both jurisdictions determine eligibility. A route that works for one LLC or corporation may not be available for another.
Is conversion the same as foreign qualification?
No. Foreign qualification generally adds authority to do business in a state without changing the entity’s home jurisdiction. California registration of an out-of-state entity is a separate filing, listed on our pricing page; its fee is not a conversion fee.
Will the business keep its EIN and contracts?
Do not assume so from the filing alone. EIN treatment, contractual consents, licenses and tax consequences depend on the transaction and relevant rules. Have your advisers confirm these matters before proceeding.
