The overview
Know what you’re filing.
Stopping operations and formally terminating an entity are different steps. The correct filing depends on the business structure, where it was formed, where it is registered and whether the required approvals have been obtained.
A termination filing does not settle debts, cancel contracts or erase tax liabilities. Coordinate the winding-up process with your attorney and tax professional, including final returns and obligations to employees, creditors and owners.

Good questions
A little clarity
before you file.
Understand which state registrations you are changing. Can I just stop using the business?
Inactivity alone does not formally terminate an entity or end filing and tax obligations. Check the entity record and obtain advice about the appropriate closure steps.
Will termination remove taxes or debts?
No. Existing taxes, debts, contractual duties and other liabilities do not disappear simply because termination documents are filed. Tax preparation, debt settlement and legal winding-up advice are separate from this filing assistance.
Does surrendering in California close my out-of-state entity?
Surrender or cancellation of a California registration is not the same as terminating the entity in its formation state. Each jurisdiction and remaining registration needs separate review.
